These Terms and Conditions govern your use of our consulting services and any associated interactions, whether in-person, online, or through other communication channels. By engaging with us or using our services, you agree to these Terms and Conditions.

We provide consulting services as described in our agreement or proposal. The scope, deliverables, timeline, and fees will be specified in a separate contract or engagement letter. Any additional services requested will require a written amendment to the original agreement.

We understand the importance of protecting your confidential information. Both parties agree to maintain confidentiality regarding any proprietary or sensitive information shared during the engagement. Exceptions may include:

4. Fees and Payment Terms

Payments are due as specified in the agreement, and late payments may incur interest at the rate of 2% per month.

All fees are in Canadian dollars and may be subject to applicable taxes, including HST.

5. Client Responsibilities

To ensure the success of the engagement, you agree to:

Respond promptly to inquiries and deliverables.

Notify us of any changes to your circumstances that may impact the engagement.

6. Limitation of Liability

No Certification or Guarantee: Condolutions is not a law firm, accounting firm, or certified professional organization. Our consulting services are provided based on experience, industry knowledge, and best practices, but we make no guarantees regarding accuracy, completeness, or the outcomes resulting from the use of our advice or deliverables.

Client Responsibility: The client acknowledges and agrees that they are solely responsible for deciding whether to implement or act upon the advice, recommendations, or deliverables provided by Condolutions. We are not liable for any decisions made by the client or their representatives based on our services.

No Liability for Damages: Under no circumstances shall Condolutions be held liable for:

Direct, indirect, incidental, consequential, or punitive damages, including but not limited to financial losses, business interruptions, or reputational harm.

Any legal claims or disputes arising from the client’s use of the services or advice, regardless of the nature of the claim.

Insurance and On-Site Work: If our personnel are retained to work on-site or in a client-controlled environment:

The client agrees to indemnify and hold harmless Condolutions and its representatives against any claims, damages, or liabilities arising from on-site activities.

The client further ensures that Condolutions and its personnel are fully protected under the client’s insurance policies for the duration of the on-site engagement, including but not limited to liability, workplace injuries, and property damage.

Force Majeure: We are not responsible for any failure to perform due to unforeseen circumstances or events beyond our control, such as natural disasters, government actions, or other force majeure events.

By engaging our services, the client acknowledges and agrees to these terms, including accepting full responsibility for their actions and decisions based on our advice or deliverables.

7. Third-Party Involvement

Where applicable, we may engage third-party experts or partners to assist in delivering the services. We will make reasonable efforts to vet such third parties, but we are not responsible for their actions or omissions.

8. Privacy Policy
We adhere to applicable privacy laws, including Ontario’s Personal Information Protection and Electronic Documents Act (PIPEDA). Any personal or business information collected will be used solely for the purpose of providing consulting services. For details, please review our Privacy Policy.

9. Intellectual Property

All deliverables, including but not limited to reports, analyses, frameworks, tools, and any other materials provided during the engagement, are and remain the sole property of Condolutions.

The client is granted a non-exclusive, non-transferable license to use the deliverables solely for internal purposes as outlined in the scope of the engagement. This license does not include the right to modify, redistribute, or reuse the deliverables without prior written consent from Condolutions.

Pre-existing intellectual property, including proprietary tools, methodologies, and frameworks developed by Condolutions, remains the exclusive property of Condolutions.

Any feedback, suggestions, or input provided by the client during the engagement does not transfer ownership rights and may be incorporated into our deliverables or services at our discretion without obligation or compensation.

10. Vendor Relationships and Conflict of Interest Disclosure

Condolutions is committed to providing consulting services that prioritize the best interests of our clients. To maintain transparency and trust, we disclose the following:

Vendor Relationships:
Condolutions may maintain professional relationships or partnerships with certain vendors, service providers, or third-party organizations. These relationships may include financial arrangements, such as referral fees, commissions, or other benefits. -
Recommendations:
Any recommendations made during the course of our services are based solely on our assessment of the client’s needs, goals, and preferences. While we may suggest vendors or solutions with whom we have an established relationship, clients are under no obligation to engage with these vendors. -
Disclosure:
If a potential conflict of interest arises or if we recommend a vendor with whom we have a financial or professional relationship, we will disclose this information to the client in advance. Clients are encouraged to independently evaluate all recommendations. -
Independence of Choice:
Clients retain full autonomy in deciding whether to engage with recommended vendors or seek alternative providers. Condolutions does not guarantee the performance or quality of any third-party services or products and assumes no liability for their outcomes.

Please note that all emails and associated data are hosted on Wix, a third-party platform. No Guarantee of Absolute Confidentiality

Changes to These Terms
We reserve the right to update or modify these terms at any time without prior notice. Any changes will be effective immediately upon posting. By continuing to send emails, you agree to the modified terms.

12. Termination

Upon termination, you are responsible for paying for all services rendered up to the termination date.

These Terms and Conditions are governed by the laws of Ontario, Canada. Any disputes will be subject to the exclusive jurisdiction of the courts of Ontario.

We reserve the right to amend these Terms and Conditions at any time. Any changes will be communicated in writing or through our website and will become effective immediately.

15. Force Majeure

We are not liable for any delays or failures to perform our obligations due to events beyond our reasonable control, including but not limited to natural disasters, strikes, or government actions.
